Notice about partial revocation of the activity license (08.05.2018)


AS Trigon Asset Management (hereinafter "Management Company”) hereby informs that Financial Supervisory Authority has on the 7th of May 2018 with its Management Board´S decision no 4.1-1/71 approved the Management Company`s application for the partial revocation of the activity license as follows:

1. revoke partially Financial Supervisory Authority`s 15.01.2007 decision no 4 .1-1/3 in part that the Management Company was granted the right for the management of a securities portfolio for the purposes of clause 43 (1) 4) of the Securities Market Act;

2. revoke Financial Supervisory Authority`s 10.09.2008 decision no 4.1-1/93 under which the Management Company was granted the right for the investment advising for the purposes of clause 43 (1) 5) of the Securities Market Act;

3. revoke Financial Supervisory Authority`s 25.09.2015 decision no 4.1-1/104 under which the Management Company was granted the right for the holding of units or shares of a fund for a client for the purposes of clause 44 1) of the Securities Market Act.

AS Trigon Asset Management shall continue acting under fund manager`s activity license.


Notice about new Fund Rules and Prospectus of Trigon Russia Top Picks Fund and Trigon Baltic Fund (12.04.2018)


AS Trigon Asset Management ("Company”) informs about adopting new rules and prospectus for Trigon Russia Top Picks Fund and Trigon Baltic Fund (altogether "Funds”). Changed rules have been approved by the Estonian Financial Supervision Authority with its decisions no 4.1-1/56 and 4.1-1/57 on 9th of April, 2018 and the changes become effective on the 15th of May 2018. The changed rules and prospectus of the Funds are available on the website of the Company www.trigoncapital.com.

The changes are performed due to enforcement of the new investment funds act as well as due to internal decision to remove from the Fund rules such information that has already been provided in the prospectus. Due to the re-domiciliation of the Trigon New Europe Fund to Luxembourg, all information about that fund has been deleted from the prospectus. The changes do not affect the investment policy of the Funds or the rights of the unit-holders. The Fund documents have been simplified and some parts re-written for better and more logical structure. In the Fund rules (clause 7.3) the list of the fees, charges and expenses that may be paid for the account of the Fund was updated to include full and specific list of all fees. This change is considered as a material change. The list has been updated in order to give the unit-holders detailed overview of all fees that may be paid for the account of the Fund. Updating the list however does not mean that the Company decides to take all those expenses from the Fund, each expense is always evaluated with due care and considering the interests of the unit-holders.

In the case the unitholders do not agree with the changes then they have the right to redeem their units without redemption fee by submitting a respective redemption order until 14th of May, 2018 at 17:00 (Estonian time).

The new domicile for Trigon New Europe Fund shall soon be Luxembourg (26.02.2018)

AS Trigon Asset Management (Trigon) hereby informs that Trigon New Europe Fund shall be re-domiciled to Luxembourg. The management and performing investment decisions of the fund portfolio will remain in Estonia. Current management company, AS Trigon Asset Management, leaded by fund manager Mehis Raud, will remain responsible for the investment of the fund assets.

Trigon believes that the re-domiciliation has a positive effect for the future of Trigon New Europe Fund as well as to the fund investors. Re-domiciliation to Luxembourg will broaden the distribution opportunities of the fund and helps to generate operational efficiencies which will benefit unitholders. Luxembourg is the leading domicile for the UCITS funds in Europe, and therefore widely accepted by European investors, but also by wide range of investors from outside of Europe.

The re-domiciliation shall be carried out through a cross-border merger in which Trigon New Europe Fund (UCITS) participates as the merging fund and TRIGON - New Europe Fund (UCITS), a fund established for the sole purpose of facilitating the re-domiciliation, participates as the receiving fund. As a result of the cross-border merger, the assets and liabilities of Trigon New Europe Fund will be transferred to TRIGON - New Europe Fund. Unit-holders in Trigon New Europe Fund will become shareholders in TRIGON - New Europe Fund. The investment objectives and strategies of the fund will remain in principle the same after the re-domiciliation.

The Financial Supervision Authority, with its decision no 4.1-1/7 from the 15th January, 2018, gave authorisation for the cross-border merger of the UCITS fund Trigon New Europe Fund with the UCITS fund TRIGON – New Europe Fund. The approval for the merger came into force on 14th February, 2018 when the TRIGON – New Europe Fund was registered for offering in Estonia.

The domicile of Trigon New Europe Fund is going to change through merger on April 9, 2018 and on April 10, 2018 (planned effective date of the merger) TRIGON - New Europe Fund will be open for dealing. On April 9 all the units belonging to the unitholders participating in the merger shall be redeemed and shares of TRIGON - New Europe Fund shall be issued to the investors in the value that corresponds to their holdings in Trigon New Europe Fund.

Investors who prefer not to keep investing into the fund through the new Luxembourg domiciled fund have the opportunity to exit Trigon New Europe Fund free of charge until 30.03.2018.

Trigon hereby points out that in order to participate in the merger and to become the shareholder of TRIGON-New Europe Fund the securities account of the investor must allow to safekeep Luxembourg fund units on the account (LU ISIN). All investors who have an account that currently does not allow safekeeping units of a foreign fund are asked to contact Trigon.

The volume of Trigon New Europe Fund is 150 million euros. In 2017 Trigon received the Best Equity Small Company Group in Europe award over 3 years from Thompson Reuters Lipper.

Acquiring and redeeming units of Trigon funds now without issue and redemption fee (26.09.2017)

Fund management company AS Trigon Asset Management („Company") group informs about abolishing the issue and redemption fees of units. According to the prospectus for the public offering of the units of Trigon New Europe Fund, Trigon Baltic Fund and Trigon Russia Top Picks Fund the right to acquire or redeem Units without issue or redemption fee may be given to the investors by the resolution of the Management Board of the Company. Previously there has been no issue and redemption fee applicable to Class 1, Class 4, Class 5 and Class 6 units of Trigon New Europe Fund, Class 3 units of Trigon Baltic Fund and Class 1, Class 5 and Class 6 units of Trigon Russia Top Picks Fund. According to the resolution of the Management Board, as of publishing this notice, it is now additionally possible to redeem Class 1 – A units of Trigon Baltic Fund without redemption fee and acquire and redeem Class 4 – C units of Trigon Baltic Fund and Class 4 units of Trigon Russia Top Picks Fund without issue and redemption fee.

Abolishing the fees means a considerable saving for the present and future clients when investing into Trigon’s funds and does not call for any actions or costs from the present unitholders.

This notice does not apply to Class 2 – eQ units that are distributed by eQ Asset Management Ltd in Finland and for which the issue and redemption fee shall remain in force.

Notice about entry into force of new Fund Rules and Prospectus of Trigon New Europe Fund, Trigon Russia Top Picks Fund and Trigon Baltic Fund and about updated information for offering of units (01.09.2017)

AS Trigon Asset Management ("Company”) informs that on 1st of September 2017 the new rules and prospectus for Trigon New Europe Fund, Trigon Russia Top Picks Fund and Trigon Baltic Fund (altogether "Funds”) entered into force. The effective rules and prospectus of the Funds are available on the website of the Company www.trigoncapital.com. The Company informs that in addition to the previously offered units of Funds it is possible to acquire the following units as of 1st of September 2017: A and E unit of Trigon New Europe Fund, A unit of Trigon Russia Top Picks Fund and B unit of Trigon Baltic Fund. Offering of E units of Trigon Russia Top Picks Fund is suspended until the Management Board of the Company resolves to allow the units to be acquired. Information about the fees and expenses attached to the units is available in the Funds’ prospectus.

Notice about extending the term for applying a lower rate of management and performance fee for Trigon Russia Top Picks Fund (3.08.2017)

Fund management company AS Trigon Asset Management („Company") belonging to Trigon Capital group informs about extending the term for applying a lower rate of management and performance fee for Trigon Russia Top Picks Fund. The management board of the Company decided on 6th of February that for the or the period of 6th of February until 6th of August 2017 the performance fee for Trigon Russia Top Picks Fund Class 1 (A Unit) and Class 4 (C Unit) is 0% and the management fee for Class 5 (D Unit) is 1,0%. According to Section 10.1 subsection e) of the Trigon Russia Top Picks Fund Rules the management board of the Company may decide to lower the rate of the management fee and the performance fee for some time periods.

In accordance with the Fund Rules the management board decided to extend the fees applied with the 6th of February 2017 decision as follows:

-for the period of 6th of August until the enforcement of the new Fund Rules and Prospectus on the 1st of September 2017 the performance fee for Trigon Russia Top Picks Fund Class 1 (A Unit) and Class 4 (C Unit) is 0% and the management fee for Class 5 (D Unit) is 1,0%.

Notice about new Fund Rules and Prospectus of Trigon New Europe Fund, Trigon Russia Top Picks Fund and Trigon Baltic Fund (01.08.2017)

AS Trigon Asset Management ("Company”) informs about adopting new rules and prospectus for Trigon New Europe Fund, Trigon Russia Top Picks Fund and Trigon Baltic Fund (altogether "Funds”). The changes become effective on the 1st of September 2017. The changed rules and prospectus of the Funds are available on the website of the Company www.trigoncapital.com. The changes are performed due to enforcement of the new investment funds act, which allowed the simplification of Fund rules. All the information removed from the rules is available in the prospectus. From the investor perspective a significant change is the establishment of a higher depositary fee in the prospectus which is caused by the new price list of the depositary bank. Notice about applying a lower rate of management and performance fee for Trigon Russia Top Picks Fund (7.02.2017)

Fund management company AS Trigon Asset Management („Company") belonging to Trigon Capital group informs about applying a lower rate of management and performance fee for Trigon Russia Top Picks Fund. According to Section 10.1 subsection e) of the Trigon Russia Top Picks Fund Rules the management board of the Company may decide to lower the rate of the management fee and the performance fee for some time periods. Based on the Fund Rules and Prospectus current valid rates of the performance fee are for Class 1 - A Units and Class 4 - C Units 15% of return that exceeds 3,5% per year and management fee for Class 5 - D Units 2,0% per year.

In accordance with the Fund Rules the management board decided to apply a lower performance fee for A and C Units and a lower management fee for D Units as follows:

-for the period of 6th of February until 6th of August 2017 the performance fee for Trigon Russia Top Picks Fund Class 1 (A Unit) and Class 4 (C Unit) is 0% and the management fee for Class 5 (D Unit) is 1,0%.

Lowering the rates does not call for any actions or costs from the unitholders.

Notice about transfer of Trigon Russia Top Picks Fund, Trigon Baltic Fund and Trigon New Europe Fund (13.09.2016)

Fund management company AS Trigon Funds („Company") belonging to Trigon Capital group informs about the transfer of Trigon Russia Top Picks Fund, Trigon Baltic Fund and Trigon New Europe Fund (altogether "Funds”) to another fund management company belonging to Trigon Capital group, AS Trigon Asset Management, and informs about resulting changes in the rules of the Funds. No other changes take place in the Funds. Fund and portfolio managers, investment policy of the Funds, investment strategy and the rights of the unitholders remain the same. The intra-group transfer of Funds is performed in the course of simplification of Trigon Capital group structure. On the Company’s request the Financial Supervision Authority gave permission for the transfer of Funds and registered the changes in the rules of the Funds with its decision no 4.1-1/136 on the 5th of September, 2016. The changed rules of the Funds are available on the website of the Company www.trigoncapital.com. Unitholders have the right to ask clarifications about the importance of the changes by contacting the Company via e-mail funds@trigoncapital.com or telephone +372 667 9200. The transfer of Funds and the changes in the rules of the Funds become effective automatically on the 1st of November, 2016 and do not call for any actions or costs from the unitholders.

Notice about merging Trigon Emerging Financials Fund into Trigon Russia Top Picks Fund (05.08.2015)

AS Trigon Funds („Company") informs about merging Trigon Emerging Financials Fund into Trigon Russia Top Picks Fund (together „Funds"). On the Company’s request the Financial Supervision Authority gave a permission for the merger with its decision no 4.1-1/74 on the 3rd of August, 2015. The merger date is 18th of September, 2015. The merger becomes effective on the 21st of September, 2015.

AS Trigon Funds (hereinafter Management Company) informs about changes in the rules of Trigon New Europe Fund, Trigon Baltic Fund, Trigon Russia Top Picks Fund and Trigon Emerging Financials Fund (hereinafter Funds).

Changed rules have been registered by the Estonian Financial Supervision Authority with its decisions no 4.1-1/15 to 4.1-1/18 on 27th of February, 2015 and the changes become effective on the 31st of March, 2015. The changed rules and prospectuses are available on the website of the Management Company www.trigoncapital.com. Changes are made, inter alia, in the cut-off time for submitting transaction orders. As of 31st of March, 2015 the new cut-off time for submitting orders will be at 10:00 CET (11:00 Estonian time).

AS Trigon Funds („Company") informs about merging Trigon Emerging Agri-Sector Fund into Trigon Emerging Financials Fund(together „Funds"). On the Company’s request the Financial Supervision Authority gave a permission for the merger with its decision no 4.1-1/9 on the 28thof February, 2014. AS Trigon Funds (hereinafter Management Company) informs about changes in the rules of Trigon New Europe Growth Fund (the new name of the fund is Trigon Baltic Fund). Changed rules have been registered by the Estonian Financial Supervision Authority with its decision no 4.1-1/58 on 27th of November, 2013. AS Trigon Funds („Company") informs about merging Trigon Balkan Fund into Trigon New Europe Fund (together „Funds"). Change in Trigon New Europe Value Fund Rules (26.10.2012)

AS Trigon Funds (hereinafter Management Company) informs about changes in the rules of Trigon New Europe Value Fund (new name is Trigon New Europe Fund). Changed rules have been registered by the Estonian Financial Supervision Authority with its decision no 4.1-1/78 on 24th of October, 2012. The changed rules are available on the website of the Management Company www.trigoncapital.com. The changes are not material, only the name of the fund was changed. Unitholders have the right to ask clarifications about the importance of the changes by contacting us via e-mail trigon@trigoncapital.com or telephone +372 667 9200.

The changes in the rules become effective as of 27th of November 2012.
